Supervisory and enforcement authorities. Commission for Consumer Protection (Комисия за защита на потребителите), 4A Slaveykov Sq., floor 3, 1000 Sofia; Commission for Personal Data Protection (Комисия за защита на личните данни), 2 Prof. Tsvetan Lazarov Blvd., 1592 Sofia.

This information is published in accordance with Article 4 of the Bulgarian Electronic Commerce Act (Закон за електронната търговия), implementing Article 5 of Directive 2000/31/EC.

2. Scope and application

2.1 These Terms apply to every offer, order, order confirmation, sale and delivery of products made by Lavanis through the website at lavanis.com or by any direct order channel referencing these Terms.

2.2 By placing an order, the Buyer accepts these Terms in full. Acceptance is recorded electronically together with the version of the Terms in force at the time of the order.

2.3 Any general terms, purchase conditions or standard forms of the Buyer are expressly excluded and do not bind Lavanis, even if Lavanis does not object to them and even if referenced in the Buyer's order documents. Deviations from these Terms are binding only if agreed in writing and signed by an authorised representative of Lavanis.

2.4 These Terms are published in English. Any translation is provided for convenience only; in the event of discrepancy, the English text prevails, save where mandatory Bulgarian law requires otherwise.

3. Business-to-business sales only — buyer eligibility

3.1 No sales to consumers. Lavanis sells exclusively to business buyers. The Buyer must be:

(a) a legal entity, sole trader, registered agricultural producer, cooperative, institution or other person carrying on a trade, business, craft or profession, and

(b) acting for purposes relating to that trade, business, craft or profession, and

(c) in possession of a valid VAT identification number, or otherwise able to evidence its business status to the satisfaction of Lavanis.

3.2 Buyer's representation and warranty. By placing an order, the Buyer represents and warrants that it satisfies the conditions in clause 3.1, that it is not acting as a consumer within the meaning of §13, item 1 of the Additional Provisions of the Bulgarian Consumer Protection Act or Article 2(1) of Directive 2011/83/EU, and that all information supplied in the ordering process is true, complete and current.

3.3 Verification. Lavanis verifies VAT identification numbers against the VIES system operated by the European Commission and may request additional evidence of business status, including a company registration extract, a trade or agricultural producer registration, or a signed statement of business capacity. Lavanis may suspend or refuse any order pending such verification.

3.4 Consequences of misrepresentation. Where a Buyer obtains products by misrepresenting its business status, Lavanis reserves the right to cancel the contract, to refuse further orders, and to claim compensation for any loss caused, including regulatory costs. This is without prejudice to any mandatory rights that a person may have at law notwithstanding such misrepresentation.

3.5 Mandatory law reservation. Nothing in these Terms excludes or limits any right that cannot be excluded or limited under mandatory applicable law. Where, notwithstanding clause 3.1, a contract is nonetheless held to have been concluded with a consumer, the mandatory consumer protection provisions of the applicable law apply and prevail over any inconsistent provision of these Terms.

3.6 Consumer-specific provisions do not apply. Because sales are made exclusively on a business-to-business basis, the statutory right of withdrawal for distance contracts (Articles 50 et seq. of the Bulgarian Consumer Protection Act, implementing Articles 9–16 of Directive 2011/83/EU) and the statutory conformity guarantee under the Bulgarian Act on the Provision of Digital Content and Digital Services and on the Sale of Goods (implementing Directive (EU) 2019/771) do not apply to sales under these Terms. The contractual warranty in clause 12 and the return policy referenced in clause 13 apply instead.

4. Products, specifications and compatibility

4.1 Product descriptions, specifications, compatibility lists, images and technical documentation published on the website are provided for identification and technical guidance. They do not constitute a warranty of fitness for any particular machine, configuration, calibration or operating environment.

4.2 Compatibility verification is a condition of order acceptance. Before an order is confirmed, the Buyer must supply the information requested in the compatibility verification step, which may include a photograph of the ECU label, the engine data plate, the machine make, model and year of manufacture, and the fault codes present. Lavanis relies on this information when confirming an order.

4.3 The Buyer is solely responsible for the accuracy and completeness of the information supplied under clause 4.2. Lavanis accepts no liability where a product is unsuitable because the information supplied was inaccurate, incomplete or out of date.

4.4 Lavanis may modify product designs, components, firmware and specifications at any time, provided that the functional characteristics of a confirmed order are not materially reduced.

5. Orders and formation of contract

5.1 The presentation of products on the website is an invitation to treat and does not constitute a binding offer.

5.2 The Buyer's submission of an order constitutes a binding offer to purchase, subject to these Terms.

5.3 An automated acknowledgement of receipt of an order does not constitute acceptance. The contract is concluded only when Lavanis issues an express order confirmation, or, where earlier, when Lavanis dispatches the product.

5.4 Lavanis may refuse, cancel, suspend or limit any order at its discretion, including where: the Buyer's business status or VAT number cannot be verified; compatibility cannot be established; the product cannot lawfully be supplied to, imported into or used in the Buyer's jurisdiction; the Buyer has indicated an intended use contrary to clause 9; payment cannot be secured; or the order appears to be for resale in breach of clause 10.

5.5 Where an order is refused or cancelled before dispatch, any amount already paid is refunded in full without undue delay and in any event within fourteen (14) days, using the same payment method, unless otherwise agreed.

6. Prices, taxes and duties

6.1 Prices are stated in euro (EUR), exclusive of value added tax, unless expressly stated otherwise.

6.2 VAT treatment. (a) Sales to Buyers established in Bulgaria are subject to Bulgarian VAT at the applicable rate. (b) Intra-Community supplies to Buyers established in another EU Member State holding a valid VAT identification number verified in VIES are zero-rated under the reverse charge mechanism (Article 138 of Directive 2006/112/EC; Article 7 of the Bulgarian VAT Act). The Buyer is responsible for accounting for VAT in its own Member State. (c) Where the Buyer's VAT number cannot be validated in VIES, or where evidence of intra-Community transport cannot be obtained, Lavanis charges Bulgarian VAT. (d) Supplies to Buyers established outside the European Union are treated as exports and are zero-rated, subject to receipt of satisfactory export evidence.

6.3 Import duties, taxes and customs charges arising outside Bulgaria are borne by the Buyer and are not included in the price. The Buyer is the importer of record unless expressly agreed otherwise in writing.

6.4 Prices published on the website may be changed at any time. The price applicable to a contract is the price stated in the order confirmation.

6.5 Obvious pricing, typographical or system errors do not bind Lavanis. Where such an error is identified before dispatch, Lavanis informs the Buyer and either cancels the order with a full refund or offers the corrected price for the Buyer's acceptance.

7. Payment

7.1 The payment methods available are: (a) bank transfer against a proforma invoice, in advance of dispatch; and (b) payment card, processed by a third-party payment service provider.

7.2 Where payment is by bank transfer, the proforma invoice is valid for seven (7) days. The order is released for production or dispatch only once cleared funds are received in the account of Lavanis. Bank charges, including correspondent bank charges, are borne by the Buyer.

7.3 Where payment is by card, the transaction is processed by PayPal and Stripe. Lavanis does not receive, process or store full card details. The Buyer's use of that service is additionally subject to the payment service provider's own terms.

7.4 Retention of title. Ownership of the products passes to the Buyer only upon receipt by Lavanis of payment in full, including any VAT, delivery charges and bank charges. Until ownership passes, the Buyer holds the products with due care, keeps them identifiable as the property of Lavanis, and does not pledge, encumber or otherwise dispose of them. Risk passes in accordance with clause 8, irrespective of the passing of title.

7.5 Where a payment date has been agreed and the Buyer fails to pay, statutory default interest accrues from the day following the due date under Article 86 of the Bulgarian Obligations and Contracts Act, and Lavanis is entitled to the compensation for recovery costs provided for in Directive 2011/7/EU on combating late payment in commercial transactions.

7.6 The Buyer may not set off any claim against amounts owed to Lavanis, or withhold payment on the basis of a disputed claim, unless the claim has been acknowledged in writing by Lavanis or established by a final court judgment.

7.7 An invoice is issued for every sale and is delivered electronically to the e-mail address provided by the Buyer. By placing an order the Buyer consents to receive invoices in electronic form.

8. Delivery, transfer of risk and inspection

8.1 Delivery terms, destinations, carriers, charges and estimated transit times are set out in the Shipping and Returns Policy published here, which forms an integral part of these Terms.

8.2 Unless otherwise agreed in writing, deliveries are made FCA Sofia (Incoterms 2020). Risk of loss and damage passes to the Buyer upon handover of the products to the first carrier.

8.3 Delivery dates are estimates and are not of the essence. Lavanis is not liable for delays caused by carriers, customs authorities, or circumstances outside its reasonable control. Where a delay exceeds thirty (30) days beyond the estimated date, the Buyer may cancel the undelivered part of the order and receive a refund of amounts paid for it; this is the Buyer's sole remedy for delay.

8.4 Inspection and notice of visible defects or shortage. The Buyer must inspect the products on delivery and must notify Lavanis in writing of any visible damage, shortage or wrong delivery within seven (7) days of delivery, with photographic evidence and the carrier's delivery documentation. Failure to notify within that period is deemed acceptance of the products as delivered in respect of visible defects. Hidden defects are subject to clause 12.

8.5 Where a delivery cannot be completed because of incorrect address details, refusal of acceptance or failure to pay import charges, the costs of return, storage and redelivery are borne by the Buyer.

9. Intended use and regulatory compliance

This clause is a material term. Acceptance of it is a condition of sale.

9.1 Intended use. The products are professional diagnostic and repair-support tools for SCR / AdBlue / NOx systems. They are intended for use by qualified technicians, certified workshops, professional service providers and trained technical personnel employed by or contracted to farming, construction, industrial or research operators registered as businesses or legal entities.

9.2 The products are intended for: (a) bench testing of SCR / AdBlue system components; (b) fault diagnosis and signal verification; (c) controlled workshop testing during repair procedures; (d) research, development and training environments.

9.3 The products are not intended to bypass, defeat, disable, remove or circumvent emission control systems during normal machinery operation.

9.4 Any temporary use on machinery outside a controlled test, bench or workshop environment must be strictly limited to lawful diagnostic, repair or emergency recovery purposes, where expressly permitted by applicable law, and solely pending repair or replacement of defective OEM components. Any such use must be limited to the shortest reasonable period necessary to complete the diagnostic, recovery or repair procedure and must be discontinued immediately once the underlying defect has been resolved.

9.5 Use of a product to bypass, defeat, disable, remove or circumvent emission control systems may violate applicable environmental, road, off-road, agricultural, machinery, type-approval and market surveillance regulations, including but not limited to Regulation (EU) 2016/1628.

9.6 Lavanis does not endorse, recommend, assist or support unlawful use of its products. The Buyer, the installer and the operator are solely responsible for ensuring compliance with all applicable laws and regulations in their jurisdiction.

9.7 Acknowledgement at checkout. Before an order can be submitted, the Buyer must expressly confirm acceptance of this clause 9 and of clause 10 by ticking a dedicated checkbox. That confirmation is recorded together with the date, time and version of the Terms accepted. Orders submitted without that confirmation are not accepted.

9.8 The Buyer undertakes to pass the substance of this clause 9 to any employee, contractor, installer, operator or onward recipient of the product, and to include equivalent obligations in any resale or sub-distribution arrangement permitted under clause 10.

10. Export, re-sale and jurisdictional restrictions

10.1 The Buyer is solely responsible for compliance with all export, import, re-export, sale, installation, use and end-use restrictions applicable to the products in its jurisdiction and in any jurisdiction to which it forwards them.

10.2 The products may not be lawful for import, sale, resale, installation, use or export in certain countries or for certain applications. Lavanis makes no representation that a product is lawful in the Buyer's jurisdiction.

10.3 The Buyer must not sell, supply, export or re-export the products, directly or indirectly, to any person, entity or destination subject to restrictive measures adopted by the European Union, the United Nations Security Council, or the competent authorities of Bulgaria.

10.4 Resale of the products is permitted only to buyers meeting the eligibility criteria in clause 3.1 and only on terms no less protective than clauses 9 and 10. Resale into a consumer market is prohibited.

10.5 Lavanis may refuse, cancel, suspend or request additional information for any order where the product cannot lawfully be imported, sold, installed or used, or where the Buyer indicates an intended use contrary to these Terms.

11. Intellectual property and third-party trademarks

11.1 All intellectual property rights in the products, firmware, documentation, website content, trademarks and designs remain the exclusive property of Lavanis or its licensors. No licence is granted other than the non-exclusive, non-transferable right to use the product for its intended purpose.

11.2 The Buyer must not reverse engineer, decompile, disassemble, copy, reproduce or create derivative works from the products or their firmware, except to the extent that such acts cannot lawfully be prohibited.

11.3 The Buyer must not remove, alter or obscure any serial number, label, marking or notice affixed to the products.

11.4 Third-party trademarks. All third-party trademarks referenced in product documentation, compatibility listings or on the website — including but not limited to FPT, CNH, Case IH, New Holland, Steyr, Landini, McCormick, Bosch, Denoxtronic, Merlo, Dieci, Laverda, Kobelco, Link-Belt, Flexi-Coil, Tigercat and Terex — are the property of their respective owners. Lavanis is not affiliated with, endorsed by, sponsored by, approved by or associated with any of these manufacturers. All manufacturer names, model names, engine names, ECU names and system names are used for identification and compatibility reference purposes only.

12. Contractual warranty

12.1 Warranty period. Lavanis warrants that the products will be free from defects in materials and workmanship for a period of twenty-four (24) months from the date of delivery.

12.2 This is a contractual warranty granted by Lavanis. It is offered voluntarily and is not a statutory conformity guarantee, which does not apply to business-to-business sales under clause 3.6.

12.3 Remedy. Where a valid warranty claim is established, Lavanis will, at its option, repair the product, supply a replacement product, or refund the price paid for the affected unit. Repair or replacement does not extend the original warranty period, save that a replaced unit carries the remainder of the original period or three (3) months, whichever is longer.

12.4 Exclusions. The warranty does not cover: (a) damage caused by incorrect installation, incorrect wiring, incorrect polarity, over-voltage, jump-starting, welding on the machine, or connection to an incompatible ECU or machine configuration; (b) damage caused by water ingress through a damaged, opened or modified housing; (c) mechanical damage, damage in transit not notified under clause 8.4, and damage caused by accident, misuse, neglect or unauthorised modification; (d) products from which serial numbers or markings have been removed or altered; (e) products opened, repaired or modified by anyone other than Lavanis or a party authorised by Lavanis in writing; (f) normal wear of connectors and cabling; (g) any fault attributable to the machine, its ECU, its wiring harness or another component not supplied by Lavanis; (h) any consequence of use contrary to clause 9.

12.5 Claim procedure. Warranty claims must be submitted in writing to info@lavanis.com and must include the order number or invoice number, the product serial number, a description of the fault, the machine details, and photographs or diagnostic evidence where available. Lavanis issues a return authorisation number before any product is returned. Products returned without a return authorisation number may be refused. The return procedure is set out in the Shipping and Returns Policy.

12.6 No-fault-found. Where a returned product is tested and found to conform, or where the fault falls within an exclusion in clause 12.4, Lavanis may charge a diagnostic and return-shipping fee of EUR 45 plus return shipping and returns the product to the Buyer.

12.7 The Buyer bears the cost of shipping a product to Lavanis for warranty assessment; Lavanis bears the cost of returning a repaired or replaced product where the claim is valid.

13. Returns

13.1 Because sales are made exclusively to business buyers, there is no statutory right of withdrawal and no general right of return for change of mind, incorrect ordering or subsequent unsuitability.

13.2 Returns are accepted only in the circumstances set out in the Shipping and Returns Policy — namely, wrong item delivered, transport damage notified under clause 8.4, and valid warranty claims under clause 12 — and only against a return authorisation number.

13.3 Any voluntary return accepted by Lavanis outside those circumstances is at the sole discretion of Lavanis, may be subject to a restocking fee of 15%, and requires that the product is unused, undamaged and in its original packaging.

14. Limitation of liability

14.1 Nothing in these Terms excludes or limits the liability of Lavanis for death or personal injury caused by its negligence, for intentional misconduct or gross negligence, for liability under the Bulgarian Act on Liability for Damage Caused by Defective Products, or for any other liability that cannot be excluded or limited under mandatory applicable law.

14.2 Subject to clause 14.1, the total aggregate liability of Lavanis for any and all claims arising from or in connection with the purchase, use, misuse, installation, operation or failure of a product shall not exceed the price actually paid by the Buyer for the specific unit giving rise to the claim.

14.3 Subject to clause 14.1, Lavanis is not liable for indirect, incidental, consequential, special, exemplary or punitive damages, including but not limited to loss of profit, loss of revenue, loss of contracts, downtime, loss of use, loss of crop or harvest, cost of substitute equipment, regulatory penalties, environmental fines, third-party claims, damage caused by incorrect installation, or damage arising from non-compliance with applicable law by the Buyer, the installer or the operator.

14.4 Indemnity. The Buyer indemnifies and holds harmless Lavanis against any claim, penalty, fine, cost or expense arising from the Buyer's use of a product contrary to clause 9, from the Buyer's breach of clause 10, or from any misrepresentation under clause 3.

14.5 Any claim against Lavanis arising out of a contract governed by these Terms must be brought within the limitation periods provided by Bulgarian law, and notice of the claim must be given in writing without undue delay after the Buyer became aware or ought reasonably to have become aware of the circumstances giving rise to it.

15. Force majeure

15.1 Neither party is liable for failure or delay in performing its obligations where caused by an event beyond its reasonable control, including natural disaster, fire, flood, war, armed conflict, terrorism, civil unrest, epidemic, government action, embargo, sanctions, strike, failure of transport or utility networks, semiconductor or component shortage, or failure of a supplier caused by any of these.

15.2 The affected party notifies the other without undue delay. Where the event continues for more than sixty (60) days, either party may terminate the affected contract by written notice, and Lavanis refunds amounts paid for undelivered products.

16. Data protection

16.1 Lavanis processes personal data in accordance with Regulation (EU) 2016/679 (GDPR) and the Bulgarian Personal Data Protection Act. Full information on the categories of data processed, the purposes and legal bases, retention periods, recipients and data subject rights is set out in the Privacy Policy.

16.2 Where the Buyer supplies personal data of its own employees or representatives to Lavanis, the Buyer warrants that it is entitled to do so and that the individuals concerned have been informed in accordance with Articles 13 and 14 GDPR.

16.3 Lavanis records the Buyer's acceptance of these Terms and of the acknowledgement under clause 9.7, including the date, time, technical identifiers and the version accepted, for the purposes of evidencing the contract and defending legal claims. The legal basis and retention period for that record are set out in the Privacy Policy.

17. Confidentiality

17.1 Each party keeps confidential all non-public technical, commercial and pricing information disclosed by the other in connection with a contract, uses it only for the purposes of that contract, and does not disclose it to third parties without prior written consent, except to its own personnel and advisers on a need-to-know basis and subject to equivalent obligations.

17.2 This obligation does not apply to information that is or becomes public without breach, was lawfully known before disclosure, is independently developed, or must be disclosed by law or court order.

17.3 This clause survives termination for a period of three (3) years.

18. Suspension and termination

18.1 Lavanis may suspend performance or terminate a contract with immediate effect by written notice where the Buyer: is in material breach of clauses 3, 9 or 10; fails to pay when due; becomes insolvent, enters liquidation or has a receiver appointed; or where continued performance would place Lavanis in breach of applicable law or of restrictive measures.

18.2 Termination does not affect accrued rights or any clause intended to survive, including clauses 9, 10, 11, 14, 16, 17 and 21.

19. Complaints and dispute resolution

19.1 Complaints should be addressed in the first instance to info@lavanis.com. Lavanis acknowledges receipt within three (3) business days and provides a substantive reply within fourteen (14) business days.

19.2 The parties will attempt in good faith to resolve any dispute by negotiation before commencing proceedings.

19.3 Lavanis does not participate in, and is not obliged to participate in, alternative dispute resolution procedures for business-to-business disputes.

20. Amendments and versioning

20.1 Lavanis may amend these Terms at any time. The version in force at the time an order is placed governs that contract; subsequent amendments do not apply retroactively.

20.2 Each version carries a version number and effective date. Superseded versions are retained by Lavanis and are available on request.

20.3 Where an amendment materially changes clause 9, Lavanis requires a fresh acknowledgement from existing Buyers at their next order.

21. Governing law, jurisdiction and general provisions

21.1 Governing law. These Terms and any contract concluded under them, including non-contractual obligations arising out of or in connection with them, are governed by the substantive law of the Republic of Bulgaria, excluding its conflict-of-laws rules and excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

21.2 Jurisdiction. The courts of the city of Sofia, Republic of Bulgaria, have exclusive jurisdiction over any dispute arising out of or in connection with these Terms. This clause is agreed under Article 25 of Regulation (EU) No 1215/2012 (Brussels Ia).

21.3 Non-discrimination. Lavanis complies with Regulation (EU) 2018/302 on unjustified geo-blocking. Access to the website and the general conditions of access to the products do not differ on the basis of a Buyer's nationality, place of residence or place of establishment within the European Union. This does not oblige Lavanis to deliver to a Member State to which it does not offer delivery, nor does it affect the restrictions in clauses 3, 9 and 10, which apply irrespective of the Buyer's location.

21.4 Assignment. The Buyer may not assign or transfer its rights or obligations without the prior written consent of Lavanis. Lavanis may assign its rights to an affiliate or in connection with a transfer of its business.

21.5 Severability. If any provision is held invalid or unenforceable, the remaining provisions remain in full force, and the invalid provision is replaced by a valid provision that most closely reflects the original commercial intent.

21.6 No waiver. Failure or delay by Lavanis in exercising a right does not constitute a waiver of it.

21.7 Entire agreement. These Terms, together with the order confirmation, the Shipping and Returns Policy and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior discussions, representations and understandings.

21.8 Notices. Notices are given in writing by e-mail to the addresses stated in clause 1 and to the Buyer's registered e-mail address, and are deemed received on the next business day following dispatch.

21.9 Relationship. Nothing in these Terms creates a partnership, agency, employment or joint venture between the parties. The Buyer is not authorised to make any representation on behalf of Lavanis.

22. Acknowledgement

By placing an order, the Buyer expressly acknowledges and accepts the eligibility conditions, the intended use restrictions, the export and jurisdictional restrictions, the warranty terms and the limitations of liability set out in these Terms, and confirms that it has read and understood them.
